These Terms of Service ("Terms") are a legal agreement between the business or person using Nantepa and Alidu Yakubu Suhyini Mansur, currently operating as an individual in Ghana ("Nantepa", "we", "us"). We have not yet registered a company. By creating an account, publishing an experience, or booking through Nantepa, you agree to these Terms. If you are accepting on behalf of a business, you confirm you are authorised to bind that business.
For customers: the short version
If you are booking a trip or event, this is what matters most. The rest of these Terms mostly concerns Operators.
You book with the Operator running the Experience. Nantepa provides the booking page and payment, and is not the party running the Experience.
If you cancel, you can get back up to 98.05% of what you paid, depending on the Operator's terms shown before you book. Paystack keeps a 1.95% fee that nobody can recover. Some Operators refund from their own account instead of through Nantepa; those refunds are also at most 98.05% of what you paid.
If the Operator cancels, cannot run the Experience, or does not deliver it as agreed, you are entitled to 100% of what you paid, and we aim to return it within 7 days.
Nothing in these Terms, and no "no refunds" policy of an Operator, takes away a right you have under Ghanaian law, including the Electronic Transactions Act, 2008 (Act 772).
You only receive promotional messages from an Operator if you agreed to them, and every such message has a link to stop them. Messages about a booking you hold are not promotional and are sent regardless.
Full details are in Section 7 (refunds), Section 11 (messages) and our Privacy Policy.
1. Definitions
Nantepa / the Service: the Nantepa booking platform.
Operator: a business or organiser that holds a Nantepa account and publishes an Experience through it.
Staff: an operator's own team members, invited by the operator to help run their account.
Customer: a person who books a spot on an Operator's Experience through Nantepa.
Experience: the trip, excursion, conference, or event an Operator publishes, whether or not it involves point-to-point transport.
Service message: a message about a booking or registration someone holds, or about an Operator's account, such as a confirmation, a cancellation, a change to the Experience, or a payment reminder.
Promotional message: a message that promotes an Operator's Experiences or offers, rather than concerning something the recipient already holds.
Message Credits: the units an Operator spends to send SMS through Nantepa (Section 11).
Owed Balance: an amount an Operator owes Nantepa under Section 8.
Booking: a confirmed reservation of one or more spots on a specific Experience, whether or not payment has completed (see Section 6 for a deferred-payment booking).
2. The Service
Nantepa gives an Operator a branded booking page with live availability, and lets their Customers pick an Experience, reserve a spot, and pay by Mobile Money where a fee applies. It also gives an Operator tools to manage experiences, bookings, cancellations, staff, and their own payout account. We may add, change, or remove features over time. Nantepa is an early-stage product and is provided on an evolving basis.
3. Accounts and eligibility
An Operator account may be created directly through our self-serve sign-up. It gets full dashboard access immediately, running in test mode (no real money moves and no real SMS sends) until a platform admin reviews and approves it. These Terms apply from the point the account is created, not only once approved.
Every Operator account holder is either a business admin or a member of staff. A business admin can invite, remove, and manage staff on their account and is responsible for setting their access correctly; staff have day-to-day operating access (viewing bookings, verifying passengers, and similar). An Operator is responsible for everything done under its account, and for its staff's use of the Service.
Customers don't need an account to book. Booking is anonymous, tied only to the phone number and name given at checkout. A Customer accepts these Terms by ticking the box at checkout, and we record which version of the Terms was accepted, and when, against that booking or registration.
Age. You must be 18 or older to make a booking through Nantepa. If you're under 18, please have a parent, guardian, or another adult make the booking for you. This doesn't stop you from taking part as a participant, only from being the person who enters into the booking itself. An Operator is responsible for only accepting a booking made by someone who meets this requirement (see Section 10).
4. Fees and payment
Customer payments are processed by Paystack via Mobile Money. Nantepa's standard platform fee is a flat 5.95% of each fare, the same rate for every Operator regardless of size. For the time being we charge a flat 5% instead, because Paystack's payment split currently accepts only whole percentages. We will give at least 48 hours' notice before returning to 5.95%. Nantepa never charges a Customer more than the fare an Operator sets; the fee comes out of what the Operator would otherwise keep. Where an Experience is free, no fee applies and nothing is charged to reserve a spot.
A spot is held for 10 minutes while a payment is confirmed, then released automatically if payment doesn't complete, unless the booking uses deferred payment (Section 6).
Paystack keeps its own transaction fee (currently 1.95%) on every payment, and that fee is never refunded to whoever issues a refund. This is why a refund the Customer asks for returns at most 98.05% of what was paid, and why a refund owed because an Operator cancelled is handled differently (Section 7). Fees are stated in Ghana Cedis (GHS).
Payment authorisation and failures. Where you pay via Paystack, Paystack authorises and processes the transaction; we receive confirmation of success or failure but do not see or store your full card or Mobile Money credentials. A failed or declined payment does not confirm the booking; the held spot is released and you'll need to try again.
If a payment succeeds after the spot held for it has already been released, we confirm your booking if that spot is still available. If it is not, we refund the payment in full, and we aim to do so within 7 days.
5. How Nantepa holds and pays out funds
Where an Operator offers no refunds at all, Paystack splits each payment the moment it's made: the Operator's share settles directly into the Operator's own connected payout account, and Nantepa's fee settles to Nantepa, at the same time. Nantepa never holds that Operator's share.
For every other Operator (anyone offering any refund at all), the full fare is instead charged into Nantepa's own Paystack balance at the time of payment. The Operator's share is paid out separately, by Paystack Transfer into the Operator's connected payout account, only once that specific booking is no longer eligible for any refund under Section 7, not at the time of payment. Until that Transfer happens, the Operator's share sits in Nantepa's own balance, alongside Nantepa's own operating funds.
This means Nantepa is not a bank. We do not hold this money in trust, in escrow, or in any account legally separated from our own. It is an ordinary operating balance, not a segregated client-money account, and it is not deposit-insured. Nantepa is currently operated by an individual, not a registered company (see the top of these Terms), so there is no legal wall between that balance and Alidu Yakubu Suhyini Mansur's personal assets. If Nantepa becomes unable to pay (for example because of a personal legal claim against its operator, a frozen account, or insolvency), an Operator or Customer with money in that balance has no special legal claim on it ahead of anyone else Nantepa owes money to. We disclose this because it is true today, not because we think it's likely to happen; we intend to put stronger protections in place, such as a segregated settlement account, as the business grows.
If a booking is refunded after the Operator's share has already been paid out by Transfer, the Operator owes that share back to Nantepa. How that is recorded, and how it is paid, is set out in Section 8.
6. Deferred payment and grace periods
Some Operators allow a Customer to reserve a spot on an Experience without paying immediately: the spot is held for a grace period the Operator sets, during which the Customer can complete payment. An Operator may also choose to send automatic reminders as that grace period runs out (Section 11).
If payment is completed within the grace period, the booking is treated the same as any other booking from that point on. Section 4's fees, and Section 7's cancellation and refund guarantee, run from the moment payment completes, not from when the spot was first reserved.
If the grace period expires before payment is completed, the reservation is automatically released and the spot becomes available to others. No charge is ever made, so this is not a cancellation and no refund applies; there is nothing to refund.
7. Cancellations and refunds
This section applies to a paid booking. A free Experience has no fee and nothing to refund, though an Operator may still let a Customer cancel a free reservation on the Operator's own terms.
Every paid booking from an Operator that offers any refund at all is covered by a mandatory, platform-wide guarantee: cancel within 48 hours of payment and you're entitled to at least a 98.05% refund (100% minus Paystack's non-refundable fee). This floor is fixed by Nantepa; an Operator offering refunds can't reduce it. If your payment was deferred (Section 6), this 48-hour window, and any Operator cancellation window below, are measured from when your payment completed, not from when you first reserved your spot.
An Operator that has chosen never to offer refunds on an Experience is exempt from this guarantee too, not only from what comes after it; cancelling within 48 hours gets you nothing guaranteed from that Operator, the same as cancelling at any other time. Whether an Operator offers refunds at all is shown as part of its terms before you book, the same place any other refund terms are shown.
Refunds an Operator pays itself. An Operator that offers no refunds through Nantepa may still choose to refund a Customer. It does so from its own account, outside Nantepa, and then records the refund against the booking in Nantepa. Nantepa does not send or guarantee such a refund. Because Paystack's 1.95% fee is never returned, a Customer can receive at most 98.05% of what was paid in this way. When an Operator records a refund, the booking is cancelled and the spot is released, and Nantepa credits the Operator as described in Section 8. This does not limit any right you have under Ghanaian law, and it does not apply when the Operator cancels, which is covered below.
After those 48 hours, each Operator sets their own terms within Nantepa's floor: a refund percentage (up to 98.05%; their choice below that, including 0%) for a cancellation made before their cancellation window closes (a minimum of 48 hours before departure or the Experience's start, an Operator's own choice above that). Once that window is reached, no refund is guaranteed. It's the Operator's discretion. An Operator's current terms are shown on the booking page and on your ticket before you request a cancellation, and again with the exact amount that currently applies to your specific booking.
A Customer requests a cancellation from their ticket; the Operator reviews and approves or denies it. Refunds are processed back through Paystack once approved, either by the Operator directly or by Nantepa on the Operator's behalf.
When the Operator cancels. If an Operator cancels an Experience, cannot run it, or does not deliver it as agreed, the Customer is entitled to a refund of 100% of the fare paid. This applies whatever refund terms the Operator has set, including an Operator that offers no refunds, and the 98.05% limit above does not apply. We aim to return the money within 7 days. Because Paystack does not return its 1.95% fee, that fee is shared equally between the Operator and Nantepa: Nantepa pays the Customer in full and the Operator's half is added to the Operator's Owed Balance (Section 8). An Operator cancelling through Nantepa must choose this option, and the full amount is then refunded automatically.
Rights under law. An Operator's "no refunds" setting is its own commercial policy. It does not remove any right a Customer has under Ghanaian law, for example where an Experience is not delivered, is not delivered within the agreed time, is not as described, or a Customer is charged twice. Nantepa shows these terms so that Operators and Customers know what to expect, but nothing in this section limits a Customer's statutory rights (see also Section 15). An Operator choosing "no refunds" is asked to confirm that it understands this, and we keep a record of that confirmation.
8. Chargebacks, payment disputes and amounts owed to Nantepa
If a Customer disputes a charge directly with their bank or Mobile Money provider (a chargeback) instead of requesting a cancellation through Nantepa, Paystack notifies us and the dispute is recorded against the relevant booking.
Where the booking's Operator offers no refunds (Section 5's split-at-charge mechanism), the Operator's share already settled directly to the Operator's own account at the time of the original charge, and Paystack gives no way to claw that share back automatically, so it is recorded as owed back by the Operator, the same way Section 5 tracks an approved refund's Operator share.
Where the booking's Operator offers refunds and their share hasn't yet been paid out (Section 5's hold-and-transfer mechanism), the dispute is simply deducted from Nantepa's own balance before any Transfer is made; there is nothing to claw back from the Operator, because the Operator was never paid for that booking in the first place. If the Operator's share had already been paid out by Transfer before the dispute arrived, it is recorded as owed back by the Operator in the same way.
We encourage an Operator to contact us first at the email in Section 21 if they believe a chargeback was made in error, so we can review it before it's treated as final.
Amounts owed to Nantepa. An Operator owes Nantepa, and Nantepa records in the Operator's Owed Balance: (a) the Operator's share of any booking refunded after that share was already paid out to the Operator; (b) the Operator's half of Paystack's fee on a refund made because the Operator cancelled (Section 7); and (c) the amount of a payment dispute that Nantepa could not recover another way.
The Operator can see its Owed Balance, with each item listed, in its dashboard at any time, and can pay it at any time through a Paystack payment link there. An Owed Balance is due 7 days after it first arises. We send reminders about every 3 days until it is paid. If it is not paid when due, new bookings and registrations for that Operator are paused until it is paid, and Nantepa may also deduct it from any later payout owed to the Operator. Nantepa charges no late fee and no extra charge of any kind on an Owed Balance: the Operator pays back only the amount recorded. Existing bookings are not cancelled by the pause.
Amounts owed by Nantepa. When an Operator records a refund it paid itself (Section 7), Nantepa records a credit in the Operator's favour equal to Nantepa's own share of that payment after Paystack's 1.95% fee: Nantepa's fee less that 1.95%. Nantepa repays the credit to the Operator, and the Operator can see it in its dashboard.
9. Registrant information collected by Operators
An Operator can configure additional information to collect from a Customer at booking, for example dietary needs, an emergency contact, or which session or committee a Customer wants to join. An Operator decides what to ask for; Nantepa does not review, restrict, or endorse the content of these questions.
An Operator is solely responsible for having a lawful basis to collect whatever it asks for, including anything that would count as sensitive personal data under Ghana's Data Protection Act, 2012 (Act 843), for example health, religious, or similar information. See our Privacy Policy for how this data is handled, and Section 16 for what happens if an Operator gets this wrong.
10. Operator responsibilities
An Operator is responsible for the accuracy of its Experiences, fares, and schedules, and for actually running the Experiences it publishes. Nantepa is the booking layer, not the party running the Experience. We're not a party to the underlying agreement between an Operator and its Customer to provide that Experience.
An Operator must comply with the law that applies to selling to consumers in Ghana. This includes showing Customers clear and accurate information before they pay: the Operator's business name and contact details, what is being sold, the full price, and its refund terms. An Operator is responsible for refunds that the law requires, including when it cancels or cannot deliver an Experience, and Section 7 and Section 8 describe how those refunds are paid and recovered.
An Operator must only accept a booking made by someone who is 18 or older (see Section 3). Nantepa has no way to verify a Customer's age itself, so this responsibility sits with the Operator reviewing its own bookings.
11. Messages and Message Credits
Service messages. The Service sends SMS and email on an Operator's behalf at defined points: to Customers when a booking is confirmed or cancelled or the Experience changes, to a Customer whose payment has been deferred before their grace period expires (Section 6), where the Operator has enabled this, to Operators about their Owed Balance (Section 8), and to Operator staff for account-related matters. A Customer does not need to opt in to a service message about a booking they hold.
Promotional messages. An Operator may use Nantepa to send promotional messages, but only to a person who has agreed to receive them from that Operator: for example by ticking the optional box at checkout, or by signing up through the Operator's own opt-in link and confirming it. Every promotional message carries the Operator's name and a link to stop further promotional messages from that Operator. Nantepa keeps a record of each consent and of each opt-out, and does not send a promotional message to a person who has opted out. Stopping an Operator's promotions does not stop service messages about a booking the person holds.
The Operator decides who is messaged and what is said, and is the sender of its promotional messages. Nantepa delivers them and keeps the consent and opt-out records. An Operator may import its own contact list only after Nantepa has switched that option on for it, which requires the Operator to sign an acknowledgement that it holds a valid consent for each contact and that the import is lawful. An Operator must never message someone who has told it they do not want messages, whether or not that request was made through Nantepa.
Delivery. SMS is delivered through mNotify, a Ghana-based provider, and email through Resend. Delivery is not guaranteed. A message can fail due to network issues, an invalid number, or a provider outage, and a failed message is not automatically retried.
Message Credits. SMS sent through Nantepa uses Message Credits. One credit is used for each SMS segment. A longer message uses more than one segment, and a message with certain special characters has a shorter segment, so the composer shows an estimate before you send. An Operator can buy credits, and credits may also be added to its account when it earns them from bookings. Credits belong to the account that holds them, cannot be transferred to another Operator, and have no value except for sending messages through Nantepa.
Credits expire 4 months after they are added. Credits an Operator bought can be extended once, by another 4 months, before they expire. Credits an Operator bought and has not used can be refunded on request, in line with Ghanaian law. Credits added to an account because of a booking are removed again if that booking is refunded or disputed, in proportion to the amount refunded, and an Operator that has already spent those credits has the shortfall taken from its next credits first. Credits earned from bookings are not refundable for cash.
12. Acceptable use
You agree not to:
Use the Service unlawfully, or to publish an Experience you don't intend to run
Misrepresent your business, or attempt to bypass the platform fee
Attempt to access another Operator's data or otherwise breach the system's security
Interfere with, overload, or reverse-engineer the Service
Resell or provide the Service to third parties without our written permission
Send a promotional message to someone who has not agreed to receive it, or who has opted out
13. Intellectual property
We own the Nantepa platform, software, and brand. You own your business data and Customer data. You grant us the limited right to host and process that data solely to provide the Service, and for no other purpose.
14. Availability
The Service is provided on an "as available" basis. As an early-stage product, we do not currently promise a specific uptime level, and we may occasionally suspend the Service for maintenance, updates, or fixes. We will try to limit disruption and give notice of planned downtime where we reasonably can. Nothing in this section removes any right you have under Ghanaian law that cannot be excluded.
15. Limitation of liability
We take responsibility for running the Service with reasonable care. Subject to the paragraph below, and to the fullest extent allowed by law:
We are not liable for indirect or consequential losses, or for loss of profit or revenue, arising from your use of the Service.
Our total liability to an Operator in any 12-month period is limited to the platform fees Nantepa actually earned from that Operator in that period. This limit does not apply to Nantepa's obligation to pay out an Operator's share of funds it is already holding under Section 5. That is a payment obligation, not a service-liability risk, and is not capped by this section.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, deliberate or wilful misconduct, or any liability that cannot lawfully be limited or excluded under the laws of Ghana, including mandatory rights under applicable data-protection law. If any limitation in this section is found unenforceable, the remaining limitations continue to apply.
16. Indemnity
You agree to cover us for claims arising from your misuse of the Service, your unlawful collection or use of Customer data (including messaging recipients without a lawful basis, or asking for information under Section 9 without a lawful basis to do so), or your breach of Section 9. This does not apply to the extent a claim results from our own breach of these Terms, our own negligence, or our own failure to secure data as described in our Privacy Policy.
17. Suspension and termination
An Operator's business admin may delete their own account at any time from account settings. This is immediate and always soft: the business disappears from public booking straight away, though its historical experience and booking records aren't touched. It cannot be undone through the Service; contact us (Section 21) if you want the account reopened. Deletion is blocked while the Operator has any experience still departing in the future. That experience's bookings need to be resolved first.
We may suspend or terminate access if you breach these Terms, fail to pay an amount owed under Section 8, or use the Service unlawfully. Where reasonable, we will give notice and a chance to fix the problem first.
Provisions that by their nature should survive termination (payment obligations, intellectual property, liability, and indemnity) continue after termination.
18. Changes to these terms
We may update these Terms as the product changes. A material change takes effect no sooner than 48 hours after we publish it, and every user with an account is shown a notice of the change and asked to acknowledge it. While we're still in an early testing phase with a small number of Operators we're in direct, ongoing contact with, we may instead make a change effective immediately. This exception ends the moment any Operator we aren't in that kind of direct contact with holds an account; from then on, every change follows the 48-hour notice above with no exception. We keep a record of which version of these Terms each account holder has accepted. Continued use after a change takes effect means you accept the updated Terms.
19. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana, and any dispute is subject to the jurisdiction of the courts of Ghana.
20. Related terms
Some Experiences carry an additional Experience Risk Acknowledgment & Liability Waiver, shown at checkout when an Operator requires it. It applies in addition to, and does not replace, these Terms.
